TERMS & CONDITIONS OF HIRE
In this document the following words shall have the following meanings: Bingham Hall the trustees for the time being of the Bingham Hall; Booking Form the paper or Website booking application form used by the Bingham Hall from time to time and completed by the Hirer and submitted to the manager of the Bingham Hall; Force Majeure any mechanical breakdown, failure in the electricity supply, labour dispute, flood, fire, storm, tempest, act of war, terrorism, government restriction or act of God which may cause the premises to be inaccessible or closed temporarily or otherwise cause the Function to be interrupted or cancelled; Function the proposed activity specified on the Booking Form; Hirer the organisation and/or individual in whose name the booking is made; Premises the Bingham Hall complex, King Street, Cirencester, Gloucestershire GL7 1JT; Website the website at the domain binghamhall.co.uk or any other domain that the trustees may from time to time register in their name; Hire Charge the amount for the hire of a room(s) at the Premises as specified on the Booking Form.
The agreement is between the Hirer and Bingham Hall.
The Hirer (if more than one person) shall be jointly and severally liable in respect of these Terms and Conditions of Hire.
) Confirmation of Booking and Numbers
All applications must be made using the Booking Form (which is available from the manager in charge of the Premises or from the Website) and must state the rooms requested to be hired and the purpose for which they are required.
No booking is confirmed until a confirmation of booking is posted or emailed to the Hirer by the manager of the Bingham Hall. A Page 2 of 6 confirmed booking constitutes formal acceptance of these Terms and Conditions by the Hirer.
) Permitted Activities
The Function must be specified on the Booking Form and the Bingham Hall may at it's absolute discretion without giving reason refuse to hire the Premises for any Function of which it may not approve.
The Hirer must comply with the provisions of these Terms and Conditions of Hire, the general law and local bye-laws together with any rules or regulations of Bingham Hall from time to time in force relating to the Premises.
The Hirer may not, unless authorised in writing by Bingham Hall, claim that any Function is endorsed or in any way approved by the Bingham Hall.
In the event that the Hirer cancels a booking, the deposit paid by the Hirer will be forfeited.
Notification of cancellation should be made in writing to the manager of Bingham Hall and will be effective on the date received by Bingham Hall.
Bingham Hall reserves the right to cancel a Function before or during the course of the Function if Bingham Hall is of the opinion that the Function is or is likely to be of an objectionable, illegal or undesirable nature or that the Hirer is otherwise in breach of any of these terms and conditions; the Hirer shall have no claim against Bingham Hall on account of such cancellation of the Function.
Bingham Hall reserves the right to amend the terms of any booking or to cancel a booking if the holding of a Function is prevented by Force Majeure. Bingham Hall shall not be liable for any loss or damage arising from such amendment or cancellation.
) Payment Terms
A minimum deposit of £50 of the Hire Charge is required to secure bookings. Should the Hirer not pay such a deposit by the date specified on the confirmation of booking, Bingham Hall may treat the booking as having been cancelled by the Hirer. The balance of the Hire Charge must be paid in full no later than 40 days from the date of the invoice raised by Bingham Hall.
The Hire Charge is inclusive of such VAT as may be chargeable.
Any variations in the Function taken up by the Hirer and resulting in an additional charge will be the subject of a further charge payable as directed by Bingham Hall.
Cheques should be made payable to Bingham Hall and should be forwarded, together with the invoice, to The Manager, Bingham Hall, King Street, Cirencester, Gloucestershire GL7 1JT.
Any equipment over and above that permanently held at the Premises and which requires to be hired from an external supplier must be specified on the Booking Form.
The Hirer may only bring additional equipment, articles or substances onto the Premises with prior agreement of Bingham Hall. Any equipment, articles or substances must comply with current safety regulations and Bingham Hall will not accept any liability for any loss or damage arising out of bringing any additional equipment, articles or substances onto the Premises. Furthermore, the Hirer shall be responsible for any damage caused to the Premises as a result of bringing any additional equipment, articles or substances onto the Premises and shall pay to Bingham Hall on demand the amount to make good such damage.
If, in the opinion of Bingham Hall, any item brought onto the Premises by the Hirer, his agents, servants or guests is by virtue of its nature, condition or location a hazard to Bingham Hall staff or members of the public, Bingham Hall may require the item to be removed.
No alteration may be made to the existing electrical or other fittings on the Premises without the prior approval of the Manager of Bingham Hall. Any electrical equipment brought onto the Premises by the hirer must be compliant with current electrical regulations for the time being in force.
) Obligations of the Hirer
The Hirer, or a responsible person over the age of 21 acting for the Hirer, shall be in charge of the Function and shall remain on the Premises until all persons attending the Function have left the Premises.
The Hirer shall remove or procure the removal from the Premises of any person acting in a manner which, in the reasonable opinion of Bingham Hall, may be undesirable, inappropriate, harmful, offensive, obscene or illegal or may cause a breach of the peace.
The Hirer shall not do or use or bring on the Premises or suffer anything to be done or used or brought onto the Premises anything which may render any extra or increased premium payable for the insurance of the Premises or which may make void or voidable any policy of insurance in place for Bingham Hall. Bingham Hall shall provide on request copies of insurance policies relating to the Premises.
The Hirer shall not assign or sub-let the hired room(s) without the prior written consent of Bingham Hall.
The Hirer shall not use or permit or suffer the Premises to be used for any illegal or immoral purpose or for betting or gaming or for any activity requiring a licence or the consent of any authority or other third party without first ensuring that such a licence and consent has been obtained.
The Hirer shall be responsible for provision of such doorkeepers, ticket-takers, stewards and other staff as Bingham Hall may consider necessary in the interest of fire and safety regulations, security, proper conduct, good order and for the protection of the Premises.
The Hirer, for any entertainment at which children shall be present, shall provide a sufficient number of certified chaperones and stewards in the corridors and staircases to control and facilitate the entrance to and egress from the Premises of the guests and shall otherwise comply in all respects with the provisions of Section 37 of the Children and Young Personsâ€™ Act 1963 and all provisions of the Children and Young Personsâ€™ Act 1933 and any statutory modification thereof for the time being in force.
Where 'no smoking' rules are in force, these rules must be strictly adhered to.
The Hirer acknowledges on confirmation of the booking that they have read the book provided by Bingham Hall on health and safety aspects within the Premises.
Where the Hirer engages catering facilities and refreshments are on sale to the general public then price lists must be prominently displayed in a position agreed by the manager of Bingham Hall.
) Damage to Property and Injury to Persons
The Hirer shall be liable for and shall indemnify Bingham Hall against all losses, expenses and claims in respect of any loss of or damage to physical property, death or personal injury occurring to the extent caused by act, omission, negligence or breach of statutory duty of the Hirer, his subcontractors or their employees or agents.
The Hirer shall not drive any nail, screw, drawing pin, sticky tape or any other fastener into the walls, floors, woodwork or plaster. The Hirer must provide protective covering for floors, walls, etc. Page 5 of 6 where there is risk of damage due to the nature of the Function, e.g. whilst moving heavy equipment, painting scenery, using areas other than the kitchens for preparation and cooking of food, etc. The Bingham Hall shall be the sole adjudicator of the damage caused and the amount and cost thereof as a result of the Hirers use of the Premises.
The Hirer and any other persons engaged by him to provide catering, entertainment or other services must clear all property from the Premises by the end of the times listed on the Booking Form. In the event of failure to comply with this condition the Hirer shall pay an additional hourly charge for the remainder of the time the property is left on the Premises. Bingham Hall shall be entitled to remove any such property not so removed by the Hirer and the hirer shall be liable for the costs incurred by Bingham Hall in such removal.
) Limit on Admission
The Bingham Hall reserves to itself the right of entry for its duly authorised employees, servants and agents to all parts of the Premises at all times and requires that any ticket-takers employed by the Hirer shall be instructed accordingly.
The maximum number of persons to be admitted under the conditions of the theatre licence shall be 350, all of whom shall be seated. Additional seating on the stage will be limited to 50 unless prior arrangements have been made with the manager regarding total numbers and safety regulations.
Seating for dinners, etc. should not exceed 300 persons in the main hall and 200 persons in the Daniel Bingham Suite.
All posters and tickets in connection with a Function shall carry the words 'the right of admission is strictly reserved to Bingham Hall and the Hirer'.
Failure by Bingham Hall to enforce or partially enforce any provision of these Terms and Conditions will not be construed as a waiver of any rights under the Terms and Conditions. The Terms and Conditions of Hire are personal to the Hirer who may not assign, licence or sub-contract all or any of its rights or obligations without the prior written consent of Bingham Hall.
The formation, construction, performance, validity and all aspects of these Terms and Conditions of Hire are governed by English law and the parties submit to the exclusive jurisdiction of the English courts.
The Bingham Hall supplies and operates its own licensed bar where alcohol may be purchased, as such no alcohol may be brought onto the Bingham hall premises by the Hirer or the Hires guests.
The Bingham Hall reserve the right to carry out random searches to ensure no alcohol or illegal and or prohibited items are brought onto the premises.
) Modification of Regulations
The foregoing Terms and Conditions of Hire are subject to amendment by Bingham Hall at any time.
